Tanzania (who are always a pain)--- this the ndugus will approve with their eyes closed.... since its kenyans selling.

Indeed its a warm feeling... we know the minimum which is very acceptable and now we are looking for the potential wow! what a feeling.....

I remember seeing a former BP now branded PUMA in Tz so they are already in East Africa, also their taking over KK in Tz will mean they are growing bigger not starting.

Good point Kaka M coz KK is in almost all mkts Puma is. So this tranx is a 'buy-out the competition' type of deal ;-)

Except Kenya, Rwanda & Uganda.

Puma is in Zambia, Tanzania in a big way. In Kenya, (not sure) Uganda & Rwanda... KK is #1

Are you sure about this?? Because I think in Uganda Total is WAY ahead of Kobil.. I rarely even see Kobil outlets when im there..

YES - Many would like to see the proceeds frozen by GoK pending an investigation into biwott's stolen wealth.

NO - Minority shareholders have nothing to do with Biwott & his friends. What minorities want is a TRANSPARENT sale process that gives the best price for their shares.

A few days after the KenolKobil-Puma Energy deal was announced, Kestrel Capital-who are also transaction advisors for the oil company in the buy-out negotiations, valued the oil marketer at about Sh31 billion.

Kestrel estimated that KenolKobil’s shares are likely to fetch between Sh20.13 and Sh21 each in the takeover deal.

Can we guys the minorities gangup and move to court to include our block in the deal?puma may give two prices for the big and small men.

E-mail the CMA at with your concerns & remember a new broom sweeps clean so the new CEO may be willing to listen. Try ceoffice@cma.or.ke

It was already indicated in an earlier communique that PUMA will offer same price to minority as offered to majority to conclude takeover. I believe this deal has received conditional approval from CMA - conditions being that all other industry regulators approve it. Conditional sale agreements on pricing have been signed.

What majorities can do is sit and hope a price of 21 is what was signed off if not something around 20!!

On 8 May 2012

1. Puma energy said they have signed an exclusive agreement to buy out the majority shareholders in KK subject to due diligence and price confirmation.

2. After this is when or if they want to is when they will apply to the CMA to buy out the minority shareholders, in this case KK will cease to trade at the NSe.

Conclusions

1. There is no way KK can cease to trade at the NSe if a full takeover has not been made.

2. As a minority shareholder you don't expect to be part of the negotiations since Puma has never indicated they will buy everyone out.

3. Puma can buy out the majority shareholders and still keep KK listed.

PUMA are yet to be apply for an exemption of a full takeover like Sanlam or as they did in Zambia. Na hata hiyo was rejected

A lot of our journo's in business need to be taken through finance classes. I don't particularly understand why B-daily journo would suggest minorities may ""....not have muscle to negotiate for a better premium for their shareholding interest in the company....". This is ludicrous. It's common knowledge that minorities by being offered same price as majorities are actually getting a raw deal if Puma were to follow the sequences of such transactions, where they buy the majority stake and announce a takeover. The price the pay for the majority will be seen on the boards, if they wish to do a takeover typically the price would have spiked up from that. However Puma are smart enough to give the same price.

One advantage of this deal is that KeKe majorities will swap shares in Puma + little cash. Your guess is as good as mine on the valuation but I can bet you they will push for a high price to fetch them a better stake at Puma. Remember Puma will also want to have a decent valuation to ensure Nick B and Co don't get too much influence in Puma. Minorities are the ones to enjoy a big payout at this stage. This is a class case of the agency theory working optimall!
