If am not mistaken ESOP dilution does not affect the shares immediately there is a time factor to all Esops In that it might be hinged on specific targets of either productivity or term of employment.I think the real effect of this dilution might affect us several year later Kido 5 - 10 yrs.

Having such a plan early is good given The management strategy of venturing into other markets and ventures.

I think fear of share dilution at this stage is immature.

Interestingly, I have still not seen any media report on this dilution story. However, now that KK has included it among the agenda items for the AGM at the end of the month, maybe they are now going to pick it up.

My official position is that this ESOP is a +ve for KK. Those shares will be exchanged for value (either cash or surpassd biz targets) which is good enough for me over time. But if investors need to sell, I am a willing buyer @ 8.5. Thanks in advance.

Comrade, if you are that happy with the anticipated ESOP share issue, I would expect that you would be ready to buy the shares at the price prevailing at the time the ESOP was announced which was about 9.50 - 9.60. NOT more than 10% down from that price. Heck, even with my negativity on the ESOP, I would be OK to buy the shares at about Kshs 9.00 or slightly more (cum-dividend).

The reality (from where I sit) is that until the terms of the ESOP are clarified, investors will be a bit jittery. In my view, the ESOP smacks of some kind of coup by Mgt and employees (AGAINST the shareholders). And if it so good, how come KK Mgt have not publicized it as much as they do other news that affect them (us)?

@Cde.Mhisa. I am a holder of KK @ 9.5-bought on day preceeding the results. However, I did not get enough & indeed the ESOP came to me as a surprise too~prima-facie but on further scrutiny I was pleased at it. Thus, judging from the hostility about the ESOP all around I expected a sell-off, indeed cum-div & preferbably upto 8.5. Please note I'm not willing to pay above 9.5 CD for KK as my immediate need was/is the 5% div.yield. I have had experience with dilutions being invested in Scangroup after WPP & recently Ogilvy and I have learnt & experienced the power of the value exchange & above dilution rate growth in EPS. Therefore, KK's ESOP to ME is, same story different cast, principally due to the ESOP shares being exchanged for value. I expect we understand each other now Cde.Mhisa.

This dilution risk is real its just a matter of time b4 we see a sell off. Creating 500,000,000 new shares is a joke as shareholders we should lobby for a veto on this proposal.

KK has revised the ESOP downwards by more than half ie 140million from 300million citing duplication as the cause of the error that doubled (140x2)+20m the ESOP to be issued.
Anyway, that's the latest on this issue.

They have also emailed an invitation to the AGM. Item 5 - No refreshments, lunch or other items will be provided at the annual general meeting.
