Another question. I am not very familiar with the rest of the Almasi shareholding i.e ex-Centum but last I checked SABCO has interests in Nairobi Bottlers which is part of Almasi.

Trying to check if anyone is familiar with the shareholding of CocaCola Beverages Africa (newly formed through merger of Coca-Cola SABCO, SAB Miller and GFI) in Almasi and if this will have any impact in the product mix and probabilities of SAB acquiring Centum's statke in the Almasi business since SAB Miller is already active in the Kenyan water bottling and beer sectors.

@VVS
Centum doesn't need a bailout for now but if things go as they are it will need one.
Mumias,Uchumi are other examples
Even KQ didn't need a bailout from GOK back then but see where it is now.

If they are intervening in KQ same should be made here before a shell is left and taxpayers are then told to foot the bill to bail it out.
During former president Kibaki's tenure Mworia and DJ would never have thought of giving out such obscene bonuses to employees whom we don't see anything extra-ordinary from them.

Centum makes money. It doesn't ask for a bailout.
KQ loses money. For years. Lots of it.

I would rather GoK stayed away from Centum.
GoK should also sell off (or not vote) shares in NBK, KCB, KQ, KenRe, etc.
Look at Safaricom where GoK isn't allowed to interfere by Vodacom. Now compare to KQ, NBK, etc.

KQ badly needs GoK. I would not invest in KQ without govt significant holding
The poor Kenyan taxpayer, @VVS included, who has to take it up the arse without any lubrication. A bailout funded by my taxes.

No-one should get a bailout. Not Centum. Not KQ.

Centum is a private company are you saying the government should stop you from selling you house since they know the consequences.

Then can sell even the certificate of they want. As a shareholder you have a right to complaint directly, to CMA,at the agm, via social media or even by going to court.

Those are the options my dear

Who cares if employees get alot of bonuses if the shareholders are also rewarded the same. In centum the employees are rewarded more than their employers/shareholders. Warren Buffet is in usa we are in kenya so comparing the two is a Disneyland fantasy.

Bottom line is what they are doing doesn't feel right in my stomach.

Let me get this right.Last year Centum paid employees kshs 1 billion bonus. This year again, they are paying employees kshs 600 milion.Thats a total of kshs 1.6 bilion.Meanwhile last year shareholders were paid nothing. This year they will get kshs 665 milion.
An employee is more important than a shareholder in this company. An office cleaner of this company walks home with kshs 10 milion annualy besides salary.A shareholder walks home with kshs 13000!

Sounds like great AGM question. As the CBK governor said, shareholders shouldn't just go there for umbrellas.

And it will get worse when the sh!t hits the fan and shareholders are left with a shell having not received dividends for years. The employees and directors walk into the sunset with bags of money.

It is better to be left with a shell having received dividends for years!
Never count on making a good sale. Have the purchase price be so attractive that even a mediocre sale gives good returns.

Mworia has to feel his dream of becoming a billionaire before the age of 40.
DJ is there to make him achieve his dream so long as he sings to his tunes.

According to holy scripture you become greatest while serving others. Mworia and CK DJ are serving their self-interest now expecting to be great. No way!

It is true but at some point you find yourself holding a stock which has sunk deeper and unable to exit to enter another. It requires careful study of the market.

Weighing in on the bonus discussion, I am wondering why people act surprised? Whether you agree or disagree with the structure, Centum, unlike a lot of NSE firms, is upfront about exactly how they award bonuses.

"Our variable performance based reward system is key as it addresses the critical balance between employee reward and shareholder wealth creation. We have in place a bonus structure which recognizes outperformance. Participation in the bonus pool is determined by both corporate and individual performance. On corporate performance, a return on opening shareholder funds in excess of a hurdle rate of 15% is targeted each year. Should this be achieved, the team is then entitled to a bonus pool of 20% of the return in excess of the hurdle rate." Centum AR 2015, pg. 133.

It is a fairly generic approach, actually. The question to me, therefore, is whether or not you think the bonus structure will help or hinder the capital appreciation of your investment in the company. If you think it hurts, don't invest. If you think it helps, then invest. Skip the drama. Just think about it and make a decision.

What will be interesting moving forward is if they shift it as the company shifts. They said at the investor briefing that they are now essentially a conglomerate rather than a portfolio investor. To me, that means some thought should be given to whether this approach is still ideal or if something new needs to replace it.
