my employment contract forbids me to own shares in a private company or operate business. i would like to register such a business though.
i need advice from you,learned friends.
is it possible to have the memorandum and articles read that the shareholders are A,B and C,owning 10% each,

BUT

create a separate PRIVATE document (e.g. shareholders agreement) that legally binds that party D owns the remaining 70% or at least reserves the shares and any earnings from them? without appointing a nominee?

is this legally doable,or does all ownership have to be registered with registrar? what are the other options?

All ownership has according to Company Law be registered

But you may elect diffrent persons to form the company promoters at inception.But each year a return has to be submitted detailing Directorship na attendant shareholdings.
