Investing in someone's idea

So, there's this guy with a brilliant idea and has no capital and our banks can't see it so won't finance it. I want to invest (shares) but I need to know all the loopholes. Of course it's a new concept and he's desperate to the point he's willing to sell 75% holding for a song. I've advised him never to sell over 25% before the brand is established and after that to always have controlling majority if he ever sells more.

So how do you go around it incase he patents the concept as his and not the company's which right now is within his rights?
